Sun City Democrats Club Informed Member PAC of Texas (IMPACT)
POLITICAL ACTION COMMITTEE BYLAWS
The name of this organization shall be the Sun City Democrats Club Informed Member PAC of Texas (IMPACT), hereinafter referred to as the "COMMITTEE".

The Committee is a voluntary, nonprofit, unincorporated, non-connected political action committee operating as a separate, segregated entity that was founded by the Sun City Democrats Club.
PURPOSES AND POWERS
Section 1. The purpose of the Committee is to contribute to the support of endorsed Democratic candidates for Federal, State or Local office. To further these purposes, the Committee is empowered to solicit donations, (directly or indirectly), accept voluntary personal contributions, and make expenditures in connection with the attempt to influence the selection, nomination, or election of any Democrat to any Federal, State or Local office.
Section 2. The Committee and its officers shall possess and may exercise all powers and privileges set forth in these Articles or incidental thereto, together with all powers and privileges necessary or convenient to the conduct, promotion, or attainment of the purposes of the Committee or these Articles.
The Committee is authorized to solicit and accept contributions from any person from whom contributions may be lawfully solicited.
Section 1. All contributions to the Committee by Sun City Democrats Club or its members shall be voluntary.
Section 2. Basic policies with respect to the expenditure or distribution of all contributions to the Committee shall be within the sole discretion of the officers of the Committee.
SEPARATE SEGREGATED FUNDS
All contributions to the Committee shall be maintained by the Committee as separate segregated funds in one or more designated campaign depositories, and all expenditures by the Committee in support of any candidate or political committee shall be made from these funds and no other source. The process of selecting candidates to support is defined in a separate attachment to these bylaws.

Section 1. The officers of the Committee shall be the Chair, Vice Chair, Treasurer, Assistant Treasurer, and Secretary. Additional Board officers and Committee members may be added by the five named officers by majority vote. Committee officers shall appoint subcommittees as needed.
Section 2. Officers of the Committee shall serve two-year terms and be elected by majority vote of the Board members.
Section 3. The Chair shall administer and have general and active management and supervision of all the affairs of the Committee.
Section 4. The Treasurer shall be the chief financial officer of the Committee, shall be responsible for keeping the financial and other records of the Committee, shall comply with all applicable requirements required by law, shall file appropriate federal and state disclosures, and shall perform such other duties as may be assigned by the Chair.
Section 5. The Board may appoint the Vice Chair and Assistant Treasurer to temporarily succeed to the offices of Chair and Treasurer in the event of a vacancy in either of those offices until a successor can be elected by the Board.
Section 6. The Committee Chair may serve as a member of the Sun City Texas Democrats Club’s Board.
Committee officers may be removed by a majority vote of the Board members.
ADOPTION, AMENDMENTS AND BY-LAWS
Section 1. These Articles shall be adopted effective upon approval by Committee’s Board.
Section 2. These Articles may be amended from time to time by the Committee’s Board.
The Committee may be dissolved at any time by the majority vote of the Committee’s Board. In the event of such dissolution, all funds contained in the Committee’s campaign depository shall be distributed in a manner appropriate to existing state law.
